General Terms and Conditions (GTC)
VSPS – Videkovic Stolz Parts & Service GbR

1. Scope
These General Terms and Conditions ("GTC") apply to all contracts, deliveries, and other services
between
VSPS – Videkovic Stolz Parts & Service GbR, Werkstraße 3, 89290 Buch
(hereinafter referred to as the "Supplier" or "we")
and its customers (hereinafter referred to as the
"Customer"), unless otherwise agreed in writing.
2. Quotations and Contract Formation
All quotations are non-binding and subject to change without notice. A contract shall only become effective upon our written order confirmation or upon the execution of the agreed delivery or service.
3. Products and Services
We provide repair, maintenance, technical support, and related services, as well as the sale of spare parts. The exact scope of services shall be determined by the respective quotation, service description, or order confirmation.
4. Prices and Payment Terms
Unless otherwise stated, all prices are quoted in Euro (EUR) and are exclusive of the applicable statutory Value Added Tax (VAT).
Invoices are payable immediately upon receipt without deduction, unless otherwise agreed in writing. In the event of late payment, we reserve the right to charge statutory default interest.
5. Delivery and Shipping
Delivery dates are non-binding unless expressly confirmed as binding in writing. The risk of loss or damage passes to the Customer once the goods have been handed over to the carrier or shipping service provider.
6. Warranty and Liability
The statutory warranty provisions shall apply.
We shall only be liable for damages caused by intent or gross negligence. In cases of slight negligence, liability shall be limited to breaches of essential contractual obligations (cardinal obligations) and to the foreseeable damage typical for the contract.
7. Retention of Title
All delivered goods shall remain our property until full payment has been received.
8. Data protection
We process personal data exclusively in accordance with the applicable data protection laws. Further information can be found in our Privacy Policy.
9. Final Provisions
These General Terms and Conditions shall be governed by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
If the Customer is a merchant, a legal entity under public law, or a special fund under public law, the place of jurisdiction for all disputes arising from the contractual relationship shall be our registered place of business.
Should any provision of these General Terms and Conditions be or become invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.
